Master Terms and Conditions

1. Agreement

These Terms apply to:

• KeaNest
• KeaCircle
• KeaWay
• KeaCloud web portals
• KeaCloud mobile applications

Operated by Nexveris LLC, USA.

By using the Services, you agree to these Terms.

2. Intended Users

Services are intended for:

Licensed agencies providing:

• Senior homecare
• Adult day care
• Medical / non-emergency transportation

Their staff, contractors, and authorized users

Not intended for direct patient self-diagnosis or emergency medical use.

3. Healthcare & Regulatory Status

Nexveris acts as:

• HIPAA Business Associate (where applicable)
• Service Provider / Processor under US State Privacy Laws
• Service Provider under Canadian PIPEDA

A Business Associate Agreement (BAA) may apply separately.

4. Account Responsibilities

Agencies must:

• Maintain secure credentials
• Restrict access to authorized workforce members
• Immediately report security incidents

5. Acceptable Use

You may NOT:

• Upload unlawful or fraudulent data
• Attempt system penetration
• Reverse engineer software
• Use platform for non-authorized medical data resale

6. Data Ownership

Agency owns client and agency data.

Nexveris processes data only:

• To deliver services
• For security and compliance
• As required by law

7. Service Availability

We target high availability but do not guarantee uninterrupted service.

8. Security Controls

Includes:

• Encryption in transit and at rest
• Role-based access controls
• Audit logging
• Monitoring and intrusion detection

9. Confidentiality

Both parties agree to protect confidential and protected health information.

10. Limitation of Liability

Except where prohibited by law, Nexveris is not liable for:

• Indirect damages
• Loss of profits
• Data loss caused by customer misuse

11. Termination

We may suspend or terminate for:

• Breach of Terms
• Security risks
• Legal obligations

12. Governing Law

• US customers → State of PA
• Canadian customers → Province of Ontario
